JSL Solutions, LLC & Client

Introduction & Promotional Terms

As a special introductory offer, StreamingChurch.tv’s first month is free! After your free 30-day trial, you will have the opportunity to start a paid account which will commence on the day you activate your paid account and shall continue monthly after that. Subscription packages, features, and current pricing tiers are as set forth on the official StreamingChurch.tv website or in your applicable order confirmation. Customers will be invoiced via email or billed automatically via credit card at the beginning of every monthly service period.

Cancellation Notice: You may cancel your platform contract at any time by contacting us at cancellations@streamingchurch.tv. A JSL Solutions representative will contact you to verify your cancellation request.

AGREEMENT BETWEEN JSL SOLUTIONS, LLC & CLIENT

This Agreement is entered into by and between JSL SOLUTIONS, LLC., a corporation duly organized and existing under the laws of the State of Arizona ("StreamingChurch.tv"), having its principal place of business at 901 W. Silver Hill, Oro Valley, Arizona, 85737, and you, the Client ("Client"), existing under the laws of your respective location.

A. Strategic Relationship

  • JSL Solutions will provide an interactive community platform template (including hosting) for Client with a dedicated URL determined by StreamingChurch.tv.
  • Client shall have the right to use all member information, subject to Client’s privacy policy and applicable data protection regulations.
  • Client and JSL Solutions agree to the functional product specification with regard to the functionality offered by the StreamingChurch.tv platform based on JSL Solutions’ technology as specified in their order confirmation.
  • JSL SOLUTIONS will be the exclusive provider to Client of private, password-protected, multi-member platforms. Client agrees that during the term of this Agreement, Client will not develop or offer any products which are competitive with the StreamingChurch.tv platform, and Client will not re-package, resell, or in any way modify, change, or offer the platform or any JSL Solutions technology to any other parties without the express written permission of JSL Solutions.

B. Fees

Standard Fees: Client hereby agrees to pay JSL Solutions on a recurring monthly or annual basis as selected during setup. This fee covers initial design and implementation. Any additional changes or enhancements requested by Client after initial launch shall be quoted separately. In addition, Client will pay JSL Solutions a monthly hosting fee based on the package and options selected during the setup process (as stated in the order confirmation).

30-Day Conditional Free Trial Policy: StreamingChurch.tv’s free 30-day trial is designed to be used for your regularly scheduled church services only. Conferences, seminars, and other events that are not part of your regularly scheduled worship services are not permitted under this agreement. Should you desire to stream a different event, please contact support@streamingchurch.tv.

Late Fees: When a Client is delinquent in paying the monthly or annual fee by the due date, JSL Solutions may levy a late fee not to exceed the normal monthly or annual fee. JSL Solutions retains the right to suspend or cancel Client’s platform for non-payment of fees.

C. Term, Auto-Renewal, and Termination

Term & Auto-Renewal: This agreement shall remain in effect on a monthly (or annual) basis after the launch of the Client’s custom StreamingChurch.tv platform. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle at the then-current standard rates until you explicitly cancel in accordance with our cancellation policy. You authorize us to charge your saved payment method on a recurring basis without further explicit authorization for each renewal period.

Cancellation Policy: Client may cancel its platform contract at any time by contacting JSL Solutions at cancellations@streamingchurch.tv. A JSL Solutions representative will contact the Client to verify the cancellation request. Upon request for cancellation, the Client may continue to use their platform for the remainder of their paid billing period and will not be billed for the subsequent period. JSL Solutions will not provide refunds for partial payment periods.

Termination by JSL Solutions: JSL Solutions retains the right to cancel Client’s platform for nonpayment, nonpayment of excess fees (when Client platform activity exceeds selected billing package), or inappropriate use (see Section K, "Inappropriate Use").

D. Representations and Warranties of Client

  • Client has full corporate authority and has taken all necessary corporate action to authorize the acceptance of this Agreement and the performance of its obligations hereunder, and, when accepted, this Agreement will constitute the valid and binding obligation of Client, enforceable against Client in accordance with its terms.
  • The acceptance of this Agreement by Client, and the performance of its obligations hereunder, will not violate the terms of, or cause a default under, any other agreement or instrument binding on Client or any of its property, and no consent shall be required of any person that has not been obtained.

E. Representations and Warranties of JSL Solutions

  • JSL Solutions has full corporate authority and has taken all necessary corporate action to authorize acceptance of this Agreement and performance of its obligations hereunder.
  • Acceptance and performance will not violate terms of any other agreement binding on JSL Solutions.
  • Upon launch of the StreamingChurch.tv platform, JSL Solutions shall use commercially reasonable efforts to have the platform available 24 hours a day, 7 days a week, except for scheduled maintenance and facility improvements. The platform is deemed available when the central online application is able to process transactions.
  • Unscheduled Downtime: In the event the StreamingChurch.tv platform is available less than 95% of the time in a given calendar month due to unscheduled downtime within JSL Solutions’ reasonable control, JSL Solutions will issue a credit to Client equal to the pro-rata percentage of such unscheduled downtime against the current monthly hosting fee. This credit shall be JSL Solutions’ sole liability and Client’s sole remedy for unscheduled downtime.

F. Public Announcements; Confidentiality

Public Announcements: Each party shall have the right to individually publicly announce the existence of the strategic relationship established by this Agreement.

Mutual Confidentiality: Except as otherwise required by law or securities regulations, the terms of this Agreement shall not be disclosed to any other person without consent of both parties.

Client Confidentiality: Client shall hold in strict confidence and shall not disclose or use any technical, business, customer lists, marketing, design, trade secrets, or other confidential matter relating to JSL Solutions.

G. StreamingChurch.tv Platform Product Delivery

JSL Solutions intends to launch the Client’s StreamingChurch.tv platform within 7 days and no later than 14 days after the Client signs up for a free trial. JSL Solutions will provide all named features for the specific product per marketing and website material and retains the right to store client’s on-demand media at various locations including its own servers or third-party video services.

H. Terms of Payment

Payment for services shall be made as follows: Upfront customization and set-up fees, if applicable, are due before activation. The monthly service fee is payable at the beginning of every monthly service period. Because the first month is free, the first monthly service payment will not be billed until the start of the second month.

I. Equipment

StreamingChurch.tv may provide streaming equipment (e.g., Webcaster) to the client for a deposit. To retain equipment long-term, the client must either (1) pay for an annual plan, or (2) agree to pay monthly fees for 12 months from receipt of equipment. If the client fails to do so, they must either ship the hardware back in working condition or pay for the cost of the hardware.

J. Streaming Content

StreamingChurch.tv may make client content publicly available on websites, streaming video players, and devices (such as Apple TV, Roku, etc.). Client may request that any content be excluded from any streaming channel by contacting StreamingChurch.tv via email, chat, or phone, and such requests will be honored.

K. Miscellaneous

  • Currency and Pricing: All currency cited is US currency. JSL Solutions may update prices or pricing policies upon a minimum of 45 days’ prior notification to the Client.
  • Expenses: Each party shall pay its own expenses in connection with transactions contemplated herein.
  • Notices: Client may give notice to JSL Solutions in writing at the address below or electronically via support@streamingchurch.tv. JSL Solutions shall provide all notices to the Client’s email address or contact information on file. Electronic communications and email notices shall satisfy any legal requirement that notices be in writing.

  • Governing Law: This Agreement shall be construed and enforced in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws rules.
  • Pledges: Client is solely responsible for consulting legal counsel regarding charitable solicitation registrations across various states. Neither JSL Solutions nor its partners are responsible for assisting with state registrations or liabilities.
  • Inappropriate Use: JSL Solutions expressly prohibits use of the StreamingChurch.tv domain name with adult-content related platforms. Inappropriate use of myFlock.com or platform tools is subject to review and termination at JSL Solutions’ discretion.
  • Entire Agreement & Amendments: This Agreement contains the full and final understanding between the parties. No modification is valid unless in writing and signed by all parties.
  • Non-Waiver: No waiver of any default shall constitute a waiver of future defaults.
  • Binding Effect & Assignment: Agreement is binding upon successors and assigns and may not be assigned without express written consent.
  • Attorney’s Fees: The prevailing party in any legal action or arbitration to enforce this Agreement shall be entitled to reimbursement of reasonable attorney’s fees.
  • Arbitration: Any controversy or claim arising out of this Agreement shall be settled through binding arbitration conducted in Tucson, Arizona under the Rules of the American Arbitration Association by three arbitrators.
  • Force Majeure: JSL Solutions shall be excused from performance when prevented by war, strikes, floods, earthquakes, epidemics, government orders, power failures, or other causes beyond its reasonable control.
  • Title & Rights: JSL Solutions owns all rights, title, and interest in and to the StreamingChurch.tv platform, software, and technology. Client receives no proprietary rights upon termination.
